Secure Document Upload: Terms of Use
D.A. Davidson & Co. ("D.A. Davidson") wishes to provide you (each person who elects to use Secure Document Upload, hereafter referred to as the "User"), with the ability to conveniently and securely provide documents to D.A. Davidson and its financial professionals through Box, Inc., a cloud-based content management system ("Secure Document Upload"). By using Secure Document Upload, User agrees to these terms and conditions, which may be updated from time to time.
User recognizes that there are inherent security risks in using Secure Document Upload yet considers that risk acceptable in exchange for convenience and increased security compared to other methods of sharing documents digitally. The parties therefore agree as follows:
- Consent to Use Secure Document Upload. By using Secure Document Upload, User consents to upload documents for review and download by D.A. Davidson and its financial professionals. User understands and acknowledges that any D.A. Davidson employee has access to the documents that User uploads to Secure Document Upload. User understands their use of Secure Document Upload is voluntary and not required for their engagement with D.A. Davidson.
User understands and agrees Secure Document Upload should be expressly used for the secure and convenient upload of documents and any other use of the tool, including, but not limited to, uses described under "Improper Use" below, is unauthorized and may be subject to revocation of User's access to Secure Document Upload by D.A. Davidson.
- Use of Secure Document Upload. User is solely responsible for the selection of files uploaded to Secure Document Upload. All documents uploaded will be retained by D.A. Davidson and its financial professionals in accordance with financial industry record retention requirements, and will not be accessible to the User on Secure Document Upload after submitted. As a result, User understands and acknowledges that they cannot rely on Secure Document Upload for the storage of any documents that are uploaded.
The file size of uploaded documents cannot exceed 20 MB. Typical file types supported through Secure Document Upload include but are not limited to .pdf, .doc, .docx, .xls, .csv, .ppt, .jpeg, .jpg, .png, .gif and .txt. To protect User's security, file types that are not allowed include, but are not limited to, scripts, databases, executable and audio files.
User will need certain hardware and software and may incur costs in connection with documents uploaded through Secure Document Upload. For example, User will need access to a computer with a web browser and email software to upload documents electronically. User must also have access to the internet. Further, User may incur costs such as internet provider costs. Such hardware, software and any other costs shall be User's sole responsibility and D.A. Davidson shall not be responsible for providing such hardware or software, or reimbursing User for any costs, to allow User to participate in Secure Document Upload.
- Improper Use. User understands and acknowledges that Secure Document Upload cannot be used to ensure that any time-sensitive communications are addressed in a timely manner. User must contact D.A. Davidson by telephone to notify them whenever any time-sensitive information is uploaded. D.A. Davidson and its financial professionals do not accept orders to buy or sell securities via Secure Document Upload. Although User may discuss taxes, accounting and estate planning with their D.A. Davidson financial professional, D.A. Davidson and its financial professionals do not give tax, accounting or legal advice, and User must verify all information with their tax advisor, accountant and/or attorney.
- Electronic Security. User hereby acknowledges that the internet is not a secure communications network. Unauthorized parties may access communications transmitted over the internet. D.A. Davidson will not send to User any email that contains User's confidential information including, without limitation, User's tax ID, or social security number. User agrees to access Secure Document Upload directly through the link provided by D.A. Davidson’s financial professional.
- Authority. By continued use of Secure Document Upload, User also acknowledges that they have carefully read and agree to these Secure Document Upload Terms of Use.
